Welcome to Wheedle ("Wheedle," "we," "us," "our"). These Terms and Conditions ("Terms")govern your access and use of our website, services, and any related content (collectively,the "Services"). By using our services, you agree to be bound by these terms.
Information We Collect
1. Services
Wheedle provides content marketing services that may include content strategydevelopment, content creation, and content promotion.Our specific services will be outlined in a separate contract or Statement of Work ("SOW")tailored for each client.
The SOW will detail deliverables, timelines, and pricing for the agreed-upon services.
2. Account Creation
Some features of our services may require creating an account. You are responsible forkeeping your account information secure and accurate.
You must be at least 18 years of age, or of legal age in your jurisdiction, to create anaccount.
3. Intellectual Property
Wheedle retains all intellectual property rights in and to the Services, including text,graphics, logos, and code.
Clients will receive a non-exclusive, non-transferable license to use Wheedle-createdcontent as outlined in the SOW after full payment.
Clients may not modify, distribute, or create derivative works from Wheedle materials withoutour express written consent.
Third-Party Data: We may supplement the information you provide with data obtained fromthird-party sources to better understand your business needs.How We Use Your Information
Providing Services: We use your contact information to communicate with you about ourservices, respond to inquiries, and send relevant marketing materials (with your consent).
4. Payment and Fees
All fees for services will be specified in the SOW.Payment terms (e.g., 50% upfront, 50% on completion) will be defined in the SOW.
Late payments may incur interest or result in the suspension of services.
Personalizing Content: Understanding your interests allows us to tailor contentrecommendations and marketing messages.
5. Client Responsibilities
Clients must provide timely information, feedback, and approvals to ensure projects stay onschedule.
Clients are responsible for the accuracy and legality of any content or materials they provideto Wheedle.
Clients must obtain all necessary rights and permissions for any third-party content ormaterials used in conjunction with Wheedle's services.
6. Confidentiality
Both Wheedle and the client agree to keep confidential any proprietary informationexchanged during their business relationship.
Legal Compliance: We may disclose your information when required by law, subpoena, or toprotect our rights, the rights of our users, or others.
7. Warranties and Disclaimers
Wheedle provides services on an "as is" and "as available" basis. We make norepresentations or warranties of any kind, express or implied, including warranties ofmerchantability, fitness for a particular purpose, and non-infringement.
Wheedle's services are designed to improve online visibility and engagement, but we cannotguarantee specific results or a return on investment.
8. Limitation of Liability
Wheedle shall not be liable for any indirect, incidental, special, or consequential damagesarising out of or related to the use of our services, even if advised of the possibility of such damages.
Our total liability under these terms will not exceed the fees paid by the client for the specificservices in question.
9. Indemnification
The client agrees to indemnify and hold Wheedle harmless from any claims, damages, orlosses arising from the client's breach of these terms or their use of the services.
10. Termination
Either party may terminate this agreement with written notice, as outlined in the SOW.Wheedle reserves the right to terminate a client's access to the services immediately in theevent of a breach of these terms
11. Governing Law and Dispute Resolution
These terms shall be governed by and construed in accordance with the laws of Telangana,India.
Disputes will first be addressed through good-faith negotiation. If that fails, disputes will beresolved through binding arbitration in Hyderabad, Telangana, India.
12. Changes to Terms
Wheedle reserves the right to modify these terms at any time. Updated terms will be postedon our website with a new effective date.
Refund and Cancellation policy:
This refund and cancellation policy outlines how you can cancel or seek a refund for a product / servicethat you have purchased through the Platform. Under this policy:Cancellations will only be considered if the request is made 3 days of placing the order. However,cancellation requests may not be entertained if the orders have been communicated to such sellers /merchant(s) listed on the Platform and they have initiated the process of shipping them, or theproduct is out for delivery. In such an event, you may choose to reject the product at the doorstep.WHEEDLE IO does not accept cancellation requests for perishable items like flowers, eatables,etc. However, the refund / replacement can be made if the user establishes that the quality of theproduct delivered is not good.In case of receipt of damaged or defective items, please report to our customer service team. Therequest would be entertained once the seller/ merchant listed on the Platform, has checked anddetermined the same at its own end. This should be reported within 3 days of receipt of products.In case you feel that the product received is not as shown on the site or as per your expectations,you must bring it to the notice of our customer service within 3 days of receiving the product. Thecustomer service team after looking into your complaint will take an appropriate decision.In case of complaints regarding the products that come with a warranty from the manufacturers,please refer the issue to them.In case of any refunds approved by WHEEDLE IO, it will take 5 days for the refund to beprocessed to you.
